b) Businesses in the FRM Segment* and Milk Metering Segment** carried on by TTC or TTL and their subsidiaries (being the above eleven companies); and

c) All the assets (including but not limited to intellectual property, contracts, New Zealand and internationally based assets owned by TTC, TTL and their subsidiaries) used in conducting the above businesses.

*FRM Segment means the weighing, electronic identification, contract manufacturing and electric fencing products businesses.
**Milk Metering Segment means the milk meter business operations.

Background

Datamars SA is a company registered in Switzerland, and Datamars Limited is its wholly-owned subsidiary in New Zealand.  The Applicants belong to the wider Datamars group which is a global supplier of identification solutions, specialising in radio frequency identification technology, with its three markets being companion animal ID, livestock ID and textile ID.

The Investment involves the Applicants’ acquisition of shares, businesses and assets held by the Vendors or in the Vendors’ subsidiaries in both New Zealand and overseas.  The completion of the Investment will combine scales, electric fencing and related products with the Applicants’ existing animal identification product portfolio.

The Applicants have satisfied the OIO that the individuals who will control the investment have the relevant business experience and acumen and are of good character. The Applicants have also demonstrated financial commitment to the investment.
